1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Nimesh Patel, doing business as ScaleYourCareer ("Coach," "we," "us," or "our"). By accessing the website at scaleyourcareer.com (the "Site") or engaging our coaching services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements.
3. Description of Services
ScaleYourCareer provides career coaching, interview preparation, mock interviews, and professional development guidance for software engineers, engineering managers, and technology leaders. Services are delivered through one-on-one sessions conducted via video conferencing. The Site also provides educational articles and resources at no cost.
4. Nature of Coaching — Important Disclaimers
Please read this section carefully, as it defines the scope and limitations of our Services:
- No guarantee of outcomes. Coaching is guidance based on professional experience. We do not and cannot guarantee any specific result, including but not limited to job offers, promotions, salary increases, interview outcomes, or career advancement. Results depend on numerous factors including your individual effort, skills, experience, market conditions, employer decisions, and other circumstances beyond our control.
- Not professional advice. Our Services do not constitute legal, financial, tax, psychological, medical, or employment advice. We are not a licensed professional in any of these fields, and nothing in our Services should be interpreted as such advice. For matters requiring professional expertise, consult a qualified professional in the relevant field.
- Not an employment service. ScaleYourCareer is not a licensed employment agency, staffing firm, recruiter, or placement service. We do not procure, offer, or guarantee employment opportunities.
- Independent coaching relationship. The coaching relationship is between you and ScaleYourCareer only. We are not affiliated with, endorsed by, or representing any employer, including any company referenced in our content or credentials.
- Educational content. Articles, guides, and other content on the Site are provided for informational and educational purposes only. They reflect the opinions and experience of the author and should not be treated as authoritative advice for your specific situation.
5. Booking, Scheduling, and Sessions
- Scheduling: Free exploratory calls and paid coaching sessions are booked through Calendly, which we present as an embedded scheduling window on the Site as well as by direct link. Either way the booking itself is handled by Calendly, and by booking a session you agree to Calendly's terms of service and privacy policy.
- Session cancellation: You may cancel or reschedule an individual coaching session at least 24 hours before the scheduled time without forfeiting that session. Cancellations made less than 24 hours in advance, or failure to attend a scheduled session ("no-show"), may result in forfeiture of that session.
- Sessions vs. programs: Cancelling or rescheduling an individual session does not cancel a paid coaching program or create a right to a refund. Refund and program cancellation terms are governed by Section 6.
- Coach cancellation: If we need to cancel or reschedule a session, we will provide reasonable advance notice and offer an alternative time.
6. Fees, Payment, and Refunds
Service fees and payment terms for paid coaching programs will be communicated before enrollment. Free exploratory calls are provided at no charge and do not create any obligation to enroll in a paid coaching program. Pricing may change from time to time, but changes will not affect a coaching program that has already been purchased.
Cancellation and Refund Policy
- Program Start. For purposes of these Terms, a paid coaching program begins when the first paid coaching session begins ("Program Start").
- Before Program Start. You may cancel a paid coaching program before the Program Start and receive a refund of amounts paid for that program.
- After Program Start. Once the Program Start occurs, fees paid for the coaching program are non-refundable, including for any unused, missed, cancelled, or remaining sessions, except where otherwise required by applicable law or expressly agreed by us in writing.
- Individual sessions. Cancelling or rescheduling an individual session under Section 5 does not cancel the overall paid coaching program or create a right to a refund. Cancellations less than 24 hours before a scheduled session and no-shows are treated as a delivered session.
- Dissatisfaction with outcomes. Because coaching is educational guidance and outcomes depend on factors outside our control (Section 4), refunds will not be issued based on dissatisfaction with results, including but not limited to interview outcomes, offers, or promotions.
- Chargebacks. Initiating a chargeback or payment dispute for delivered sessions is a material breach of these Terms and may result in immediate termination of Services and recovery of associated fees and costs.
Refunds outside this policy are at our sole discretion and, if granted, must be agreed in writing.
If you are a consumer in the European Economic Area, the United Kingdom, or Quebec, this policy is modified by Section 22, which gives you a statutory right to cancel that these Terms cannot take away.
7. Confidentiality
- Our obligation: We treat all information shared during coaching sessions as confidential. We will not disclose your identity, career situation, employer details, compensation information, or session content to any third party without your prior written consent, except as required by law.
- Your obligation: You agree not to disclose proprietary coaching methodologies, materials, or frameworks shared during sessions to third parties.
- Exceptions: Confidentiality obligations do not apply to information that is publicly available, independently developed, or disclosed pursuant to a legal obligation.
8. Intellectual Property
- Our content: All content on the Site, including articles, text, graphics, logos, coaching materials, and frameworks, is the intellectual property of Nimesh Patel / ScaleYourCareer and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without prior written permission.
- Personal use: You may access and use Site content for your personal, non-commercial career development purposes.
- Your materials: You retain ownership of any materials (such as resumes or work samples) you share with us during coaching sessions.
9. User Conduct
By using our Services, you agree to:
- Provide accurate and truthful information when booking sessions and during coaching engagements.
- Conduct all interactions with professionalism and respect.
- Not record, transcribe, or capture coaching sessions in any medium without prior written consent.
- Not misrepresent the coaching relationship as an endorsement, reference, or employment relationship.
- Not use the Site or Services for any unlawful purpose or in violation of these Terms.
10. Testimonials and Feedback
If you provide a testimonial or review, we may use it on the Site or in marketing materials with your first name and general role description only (e.g., "Senior Engineer"), unless you provide explicit consent for more identifying information. You may request removal of your testimonial at any time.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- ScaleYourCareer and Nimesh Patel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of income, loss of employment opportunities, loss of data, or loss of profits, arising from or related to your use of the Services or Site.
- Our total aggregate liability for any claim arising out of or related to these Terms or the Services shall not exceed the total amount you paid to us for Services in the twelve (12) months preceding the event giving rise to the claim.
- These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded. Where any limitation in this Section is held unenforceable, it applies to the maximum extent permitted rather than being disregarded entirely.
12. Disclaimer of Warranties
The Site and Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.
13. Indemnification
You agree to indemnify, defend, and hold harmless ScaleYourCareer and Nimesh Patel from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
14. Termination
Either party may terminate the coaching relationship at any time.
- If you cancel a paid coaching program before the Program Start, refunds will be handled in accordance with Section 6.
- If you terminate or discontinue a paid coaching program after the Program Start, fees already paid for the program remain non-refundable, including amounts attributable to unused or remaining sessions, except where otherwise required by applicable law.
- We reserve the right to discontinue Services if you violate these Terms or engage in inappropriate, abusive, unlawful, or disruptive conduct.
- If we terminate a paid coaching program for reasons unrelated to your violation of these Terms, we will refund the portion of prepaid fees reasonably attributable to coaching services not yet provided.
15. Third-Party Links, Embedded Content, and Services
The Site links to, embeds, and loads content and functionality from third parties. This includes Calendly for scheduling, Google Tag Manager, Google Analytics and Google Ads for measurement and advertising, and Vercel for hosting and analytics. These are provided for the operation of the Site and the delivery of the Services. We are not responsible for the content, availability, privacy practices, or terms of service of these third parties, and your use of them is governed by their respective terms and policies.
Which measurement and advertising technologies run, and whether they require your prior consent, depends on where you are and is described in Section 3.4 of our Privacy Policy. You can review or change your choices at any time using the "Privacy preferences" link in the footer of every page.
16. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
17. Dispute Resolution
Any dispute arising from or related to these Terms or the Services shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in English in the State of California. The arbitrator's decision shall be final and binding. Each party shall bear its own costs of arbitration unless the arbitrator determines otherwise.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in California.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted, and the remaining provisions shall remain in full force and effect.
20. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and ScaleYourCareer regarding the use of the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
21. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be reflected by updating the "Effective Date" at the top of this page. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the changes, you must discontinue use of the Services.
22. Consumers Outside the United States
We are based in California and these Terms are written around United States law. Some countries give consumers rights that a contract cannot remove, whatever it says and whatever you agree to. This Section sets out how these Terms apply if you are one of those consumers. Where it conflicts with Sections 6, 11, 17 or 18, this Section governs. Nothing here applies to you if you are engaging us in a business or professional capacity rather than as a consumer.
22.1 Right to Cancel (EEA, United Kingdom, Quebec)
If you are a consumer resident in the European Economic Area, the United Kingdom, or Quebec, you have a statutory right to cancel a distance contract within 14 days of entering into it, without giving a reason. To cancel, email us at nimesh@scaleyourcareer.com with a clear statement that you are cancelling. You do not need to use any particular wording or form.
- If no session has been delivered: We refund everything you have paid, within 14 days of receiving your cancellation, using the same payment method you used.
- If you asked us to start during the 14 days: You may still cancel, and you pay only a proportionate amount for the sessions actually delivered up to the point you told us. We refund the balance.
- We do not ask you to waive this right: We do not ask you to give up the right to cancel as a condition of booking, so it remains available to you for the full 14-day period. This right applies only to a paid coaching program. It does not apply to the free exploratory call, where there is no paid contract to cancel.
After the 14-day period ends, the policy in Section 6 applies. This right to cancel does not affect any separate remedy you may have if the Services are not provided with reasonable care and skill.
22.2 Governing Law and Where Disputes Are Heard
Sections 17 and 18 apply to you only to the extent the law of your country of residence allows. If you are a consumer in the European Economic Area or the United Kingdom, our choice of California law does not deprive you of the protection of the mandatory consumer rules of the country where you live, and you may bring proceedings in the courts of that country. If you are a consumer in Quebec, you may bring proceedings before the courts of Quebec and we will not seek to compel arbitration against you. We may bring proceedings against you only in the courts of the country where you live.
We would rather resolve things directly. Email us first and we will make a genuine attempt to sort it out before either of us involves a court. EEA and UK consumers may also use the European Commission's online dispute resolution platform, though we are not obliged to participate in it.
22.3 Consumers in India
If you are a consumer in India, your rights under the Consumer Protection Act, 2019 and the rules made under it are unaffected by these Terms. ScaleYourCareer is a sole proprietorship operated by Nimesh Patel, and grievances may be raised with:

We acknowledge grievances within 48 hours of receipt and aim to resolve them within one month.
Data protection grievances under the Digital Personal Data Protection Act, 2023 are handled through the same contact, as described in Section 4A of our Privacy Policy.
22.4 Other Countries
If you are a consumer somewhere else and your local law gives you rights that these Terms would otherwise reduce, those rights apply and the conflicting provision does not.
